1. Parties and subject of the agreement
This agreement is concluded between the operator of the Bokko platform, Bokko Technologies Kft. (registered seat: Fürdőház utca 1, 7100 Szekszárd, Hungary, company registration number: [AFTER REGISTRATION], tax number: [AFTER REGISTRATION], represented by Dávid Mácsik, managing director, electronic contact: support@bokko.app) as platform provider, and the service provider registering in the dashboard as subscriber.
The subject of the agreement is making the Bokko booking and dashboard system available on a subscription basis, including the public booking page, handling booking requests, notification flows and related administration functions.
Bokko provides a software platform. The actual personal service is always provided by the subscriber to its own guests; the related contractual and legal obligations rest with the subscriber.
2. Content of the platform service
In particular, Bokko provides the subscriber with:
- a dedicated booking page under the provider's own slug,
- a dashboard for managing bookings, guests, services and opening hours,
- transactional email notifications and the option of SMS reminders,
- rescheduling and cancellation flows for guests and providers,
- optional guest payment functions (deposit, card guarantee, no-show fee, on-site online payment) and invoicing integrations under Section 5,
- an optional automatic no-show restriction, which the subscriber may enable and which restricts a guest's online requests with the subscriber once the configured threshold is reached,
- an optional post-booking review request email, which the subscriber may enable — a service follow-up, NOT marketing communication,
- related technical back-end systems and administrative functions.
Bokko publicly measures the availability of the main platform components — booking, dashboard, public API, website — and publishes it on status.bokko.io. The service operates on a best-effort basis; the published measurements do not constitute a contractual availability level and do not give rise to automatic compensation claims. Bokko's liability does not extend to:
- Planned maintenance: Bokko performs planned maintenance primarily within the 22:00–06:00 Europe/Budapest local time window. Registered providers are notified by email at least 48 hours in advance: Bokko sends the notice to the subscriber's registered email address before that period, and the period runs from the completion of sending. The subscriber is responsible for keeping its registered email address up to date and reachable. The notice period does not apply to urgent security, stability or emergency maintenance. Bokko performs planned maintenance, where possible, briefly and in the way least disruptive to providers.
- External infrastructure dependencies: outages or performance degradation caused by third parties listed in the list of sub-processors and related providers;
- Force majeure: DDoS or other cyber attacks, natural disasters (fire, flood, earthquake), epidemics or official quarantine restrictions, strikes, acts of war or terrorism, outages of third-party internet service providers (ISP) or hosting infrastructure providers, mandatory measures resulting from legislative changes, and other events beyond Bokko's reasonable control.
Availability limitations resulting from any of the above do not constitute a breach of contract and do not give rise to refund claims.
Order of display, preferential treatment, other sales channels. A provider's booking page shows only that provider's own services. The provider list on the start page of the booking site includes providers that have enabled public searchability and whose booking page is public (the list may also include Bokko demonstration pages); the order is alphabetical by provider name, the list shows at most one hundred providers, and there is no paid or other preferential placement. Bokko does not provide personal services, so it does not give its own services preferential treatment over providers. Bokko does not restrict the subscriber from offering the same service through another booking system, its own website or any other sales channel — including at different prices or conditions — and it does not offer guests ancillary goods or services from third parties.
2.1 Google Maps Embed map on the public booking page
The Provider acknowledges that if it enables the public map on the Bokko interface and selects its address from the Google Places search, Bokko may display a Google Maps Embed map on the Provider's public booking page to show the Provider's address; the map loads only when the guest clicks. The Provider is responsible for the address being publicly displayable, real and usable for business purposes. Google's own terms may also apply to the use of Google Maps.
3. Registration, onboarding and trial
The agreement is formed by provider registration, acceptance of the related legal documents (terms of service, this agreement and the data processing agreement), with the privacy policy having been made available for review, and the declaration of business or professional use under Section 1. During onboarding the subscriber provides the provider's basic data and individual settings.
The subscriber is responsible for keeping the data provided true, accurate and up to date. Bokko is not liable for consequences arising from incorrect data.
Steps of concluding the contract online: (1) entering an email address and password, or signing up with a Google account; (2) confirming, with checkboxes, that the privacy notice has been read, accepting the terms of use, this agreement and the data processing agreement, and making the declaration of business or professional use; (3) submitting the registration, which Bokko acknowledges by sending an email to confirm the email address. Before submitting, the details entered can be freely corrected in the interface, which flags incorrect or missing details; business details can later be changed in the dashboard. Bokko records the version of the accepted documents and the time of acceptance electronically; no separate contract document is created. The legal documents can be saved and printed from the website, and earlier versions remain available on the Legal documents page. The contract is concluded in Hungarian; an English version of the documents is also available. Bokko has not subscribed to any code of conduct.
Trial. When the booking page is first published, Bokko provides a 30-day Pro trial, during which the subscriber may use the Pro plan features free of charge and guests can request appointments online. The trial can be used once for the same user account or email address. No trial starts if the subscriber's account or email address has already received a trial, or if the subscriber has free access under a separate agreement; where a trial was already used, the booking page can be published but online booking is paused without a subscription. Bokko sends email reminders 7 and 1 days before the trial ends. If the subscriber does not take out a paid subscription by then, online booking is paused when the trial ends; there is no automatic switch to a free plan. Pausing booking does not delete data: the data remains, and booking can be resumed by taking out a subscription. The end of the trial does not in itself create any payment obligation.
Former pilot access. An account that had former pilot access continues as a trial until December 1, 2026, 00:00 CET; until then the Pro plan features are available free of charge. Bokko sends email reminders 7 and 1 days before expiry. After expiry, online booking is paused, and the service can be continued by choosing a paid plan; there is no indefinite free access.
4. Fees and billing
Bokko's fees are determined by the plan information, price list or individual offer available at registration. Current fees are shown on the Bokko website and in the dashboard.
Payment terms: The subscription fee is payable in advance on the first day of the billing period and is charged through the payment provider Stripe. The subscriber must ensure that its billing data is correct and its payment method is valid.
Billing frequency: Bokko may offer monthly and annual payment; the options available for a plan are shown in the plan information and in the dashboard. With monthly payment the monthly fee, with annual payment the fee for the full twelve-month period is payable in advance in a single amount.
Limits of annual payment: With annual payment, add-ons billed monthly (SMS package, extra staff member, extra location, email add-on) cannot be purchased. The payment frequency (monthly ↔ annual) cannot be changed during a running period; the change takes place at the end of the period by starting a new subscription.
Cancelling an annual subscription: An annual subscription can be cancelled under the same rules as monthly payment. Cancellation takes effect at the end of the paid period; beyond that, the subscriber is not entitled to a pro-rata refund of the annual fee already paid, except for the refund option below and cases based on law.
Non-payment: If charging a due fee fails, Bokko promptly sends a notice to the subscriber's registered email address and in the dashboard. The grace period is 7 days from sending the notice (until 23:59 on the 7th calendar day after the day of sending, in the provider's time zone), during which the subscriber may update the payment method and settle the outstanding amount; during the grace period Bokko sends reminders on day 3 and day 6 after sending the notice, and the service continues to operate unchanged. If the debt is not settled by the end of the grace period, Bokko restricts access: online booking on the subscriber's booking page is paused, and Bokko sends a notice about it. If the debt is not settled within a further 30 days from the start of the restriction, Bokko terminates the subscription and sends a notice; the consequences of termination are governed by Section 10. If the debt is settled before termination, online booking resumes automatically. A subscription terminated for non-payment does not provide access until the end of the unpaid billing period. The subscription fee for the restriction period is borne by the subscriber, unless the restriction resulted from Bokko's fault.
Automatic renewal: A paid subscription renews automatically at the end of the billing period, unless the subscriber cancels it before renewal under Section 10.
Price changes: Bokko may change subscription fees with at least 30 days' prior notice. A fee already offered cannot be increased with immediate effect, and a change of the tax treatment (from a VAT-exempt fee to a fee plus VAT) also counts as an increase and likewise requires prior notice. The new price applies only from the next billing period — within 30 days of delivery of the notice, the subscriber may terminate the agreement free of charge. If the subscriber does not terminate, the new fee is deemed accepted.
Refund option: Within 30 days after the first successful subscription payment, the subscriber may request a refund without giving reasons using the "Request refund" button in the dashboard. The refund covers the entire first payment and results in the immediate termination of the subscription. After this window, fees for periods already paid are not refundable, except where mandatory law provides otherwise or where a defective performance on Bokko's side made meaningful use of the platform impossible.
5. Guest payments, card guarantee and no-show fee
Available guest payment functions. Depending on its plan, the subscriber may optionally enable requesting a deposit, a card guarantee, charging a no-show fee and on-site online payment of the service fee. For these, the subscriber connects its own payment provider account to Bokko (Stripe Connect or Barion); the subscriber contracts directly with the payment provider, amounts paid by guests go to the subscriber's payment account, and Bokko deducts no commission. The subscriber is responsible towards the guest for the economic and legal consequences of payment processing (complaints, chargebacks, refunds). For guest payments Bokko processes technical metadata from the payment provider (card brand, last 4 digits, transaction ID, a snapshot of the fee terms accepted by the guest); it does not store card data. The payment provider collects the subscriber's identification (customer due diligence) data directly from the subscriber and processes it — together with its fraud-prevention and anti-money-laundering purposes — as an independent controller under its own privacy notice; Bokko has no access to that data. Online purchase of gift cards and passes by guests, and the SimplePay payment provider, are not available.
By activating the card guarantee function, the subscriber undertakes that:
- it clearly informs the guest during booking about the conditions, maximum amount and charging conditions of the no-show fee;
- a charge may be applied only under the conditions communicated to the guest and the card guarantee conditions recorded on the Bokko platform;
- the legal responsibility for the justification of the no-show fee and the lawfulness of its enforcement rests with the subscriber — Bokko provides technical infrastructure and does not take part in the decision on enforcing the fee;
- it acknowledges that for a booking with a card guarantee, recording a no-show is an instruction to charge the fee under the card guarantee: the charge starts automatically after the recording, without a separate confirmation, so it records a no-show only on the basis of a verified fact, and settling a charge resulting from an erroneous recording (refund) is its responsibility;
- card data cannot be charged without the explicit consent required for off-session charges — this is technically enforced by the card registration flow.
Bokko retains evidence of charging events (a snapshot of the fee terms accepted by the guest) together with the booking data — this also serves chargeback defence. The subscriber must retain this data for the purpose of asserting claims.
6. Data protection roles (DPA)
By accepting this agreement, the subscriber also accepts the Bokko Data Processing Agreement (DPA), which serves as the data processing agreement under Article 28 GDPR between Bokko (processor) and the subscriber (controller). The DPA forms part of this agreement; an amendment of the DPA constitutes an amendment of this agreement.
With respect to guest data generated during booking, the subscriber is the controller and Bokko acts as processor. The subscriber is responsible for providing appropriate privacy information to its guests and recording only lawfully processed data on the platform.
Bokko processes guest booking data under confidentiality, solely for the contractual purpose and in accordance with the DPA, and applies appropriate technical and organisational measures to protect personal data in line with Article 32 GDPR.
Bokko may engage further processors (sub-processors). The current list of sub-processors is available at getbokko.com/legal/sub-processors. Bokko notifies the subscriber of changes to sub-processors by email and in the dashboard at least 14 days before the change takes effect (DPA Section 8).
Bokko may also process data for its own purposes as controller (platform security, billing, abuse prevention); the privacy policy applies to such processing.
Access to data. The subscriber accesses its own provider profile, services, bookings and the data of its guests recorded on the platform through the dashboard and — where available in its plan — the Public API. The self-service export function contains all transferable data and the uploaded files; the same can also be provided on individual request (DPA Section 14). Bokko accesses this data as processor under the DPA, and for its own processing purposes under the privacy policy. Bokko does not share the data of the subscriber or its guests with other subscribers and does not use it for its own business purposes beyond aggregated, non-identifying measurement of the platform's operation. Access and export after the agreement ends are governed by Section 10.
If the subscriber involves staff members (employees, contractors) in managing the booking platform, the subscriber must ensure that they read the Staff Access and Data Processing Terms and accept them when accepting the invitation. The subscriber is responsible for the data processing activities of its staff members.
7. Obligations of the subscriber
In particular, the subscriber must:
- keep dashboard access credentials confidential and notify Bokko immediately of any unauthorised access,
- not use the system in an unlawful, misleading or harmful way,
- maintain real services, prices, opening hours, cancellation and payment terms on the platform,
- handle its consumer protection, data protection and contractual obligations towards its own guests, including investigating guest complaints,
- when the automatic no-show restriction is enabled, record no-shows truthfully and handle a guest's request for review on the merits,
- comply with Bokko's applicable usage, data protection and technical rules.
Own legal compliance. The subscriber is solely responsible for ensuring that its activity complies with the business, tax, invoicing, registration, licensing, professional and other regulatory requirements applicable to it (for example a tax number, registration, professional qualification or licence). Bokko does not verify these and assumes no obligation to do so; accepting the declaration of business or professional use and making the platform available do not mean that Bokko has examined the subscriber's legal status or compliance.
8. Limitation of liability
Bokko is not liable for the performance, quality or non-performance of the actual service relationship between the provider and the guest, or for incorrect data provided by the subscriber.
In particular, Bokko is not responsible for:
- the subscriber's lost revenue or indirect damage,
- disruptions caused by outages of third-party infrastructure or integrations,
- force majeure, DDoS attacks or other events beyond Bokko's reasonable control.
Bokko's liability for direct damage in a calendar year is limited to the greater of: (a) the subscription fees actually paid by the subscriber in the 12 months preceding the event giving rise to the damage, or (b) [minimum amount — pending owner and legal decision]. The amount under (b) also applies during free periods (trial, free access under a separate agreement), so the limitation does not amount to a full exclusion of liability where no fee is paid. The limitation does not apply to liability for breaches of contract caused intentionally or by gross negligence, or harming human life, physical integrity or health, or where mandatory law excludes it.
Data protection liability (Article 82 GDPR): The above general limitation of liability does not apply to data protection damages arising under Article 82 GDPR. Such damages are governed by Section 15 of the Data Processing Agreement (DPA) and the relevant provisions of the GDPR.
9. Intellectual property
Content uploaded by the subscriber to the platform (images, texts, booking descriptions, custom policy texts) remains the property of the subscriber. To the extent necessary to provide the platform service, the subscriber grants Bokko a non-exclusive, revocable licence to store, process and display such content.
The code, user interface, brand elements, logos, documentation of the Bokko platform and related intellectual creations are the exclusive property of Bokko. The subscriber may not:
- reverse engineer, copy or modify the platform's source code;
- use Bokko's brand elements without permission;
- repackage or resell platform functionality commercially.
The above does not affect the subscriber's rights to its own content or the applicable terms of any open source components (list of licences).
10. Termination, data export and deletion
Ordinary termination by the subscriber: The subscriber may cancel the subscription at any time in the dashboard or by email to support@bokko.app. Cancellation takes effect at the end of the current billing period: the subscriber has full access until the end of the paid period, and the subscription does not renew.
Ordinary termination by Bokko: Bokko may terminate the subscription with at least 30 days' prior written (email) notice; the notice also states the reasons for the termination. During the notice period the subscriber has full access to the platform.
Termination with immediate effect: Bokko may terminate the agreement with immediate effect, without the 30-day notice period, only if (a) a legal obligation or an official decision requires it to terminate the service provided to the subscriber; (b) the subscriber commits a serious breach of contract that justifies termination with immediate effect under the applicable law — in particular if it engages in unlawful activity, endangers the security of the platform, other providers or guests, or intentionally provides false or misleading data during registration; or (c) the subscriber repeatedly breaches this agreement or the Terms of Service. Bokko informs the subscriber of termination with immediate effect and its reasons in accordance with the paragraph below.
Statement of reasons for suspension and restriction: If Bokko suspends or restricts access or certain functions, or terminates the agreement with immediate effect, it informs the subscriber by email, at the latest when the measure takes effect, of the measure and its factual reasons — stating the specific facts or circumstances and the contractual provision concerned — and indicates how the subscriber can clarify the facts and request a review of the measure. If prompt information is prohibited by law or an official decision, or would endanger the security of the platform, the information is provided once the obstacle ceases. Content moderation measures are also governed by Section 16 of the Terms of Service.
After access ends: When the subscription ends, online booking on the booking page stops and the account becomes read-only. In this state the subscriber can view its data and export it with the dashboard export function (the content of the export is set out in Section 14 of the Data Processing Agreement), and can reactivate the account with a new subscription until the account is deleted.
Switching (Articles 23–31 of Regulation (EU) 2023/2854 — Data Act): The subscriber may request that Bokko transfer its data and digital assets to another data processing service provider or to the subscriber's own infrastructure, or erase them (switching). The request may be made together with the cancellation of the subscription or separately, by e-mail to support@bokko.app. The notice period required to initiate switching may not exceed 2 months; the cancellation takes effect at the end of the current billing period, and the contract remains in force until then.
Transition period: After the notice period expires — or from an earlier date if the subscriber so requests — a transition period of no more than 30 days begins. During it, Bokko (a) provides reasonable assistance in the switching process, (b) acts with due care to maintain business continuity: the service continues with the features of the subscriber's plan and the booking page does not stop, (c) provides clear information on known risks to continuity, and (d) maintains a high level of security throughout the process. During the transition period the contract remains in force and the subscription fee remains payable unchanged under Section 4. If the transition period is technically unfeasible, Bokko notifies the subscriber, with reasons, within 14 working days of receiving the request and indicates an alternative transition period of no more than 7 months. The subscriber may extend the transition period once, for a period it considers appropriate.
Exit support: Bokko supports the subscriber's exit strategy: on request it provides the information needed for switching, in particular the scope, format and structure of the transferable data, the method of transfer and the known technical limitations of the process.
Transferable data and digital assets: The full scope of data and digital assets that can be transferred during switching — which includes all exportable data generated or co-generated, directly or indirectly, by the subscriber or by its use of the service — is: guest profiles and the guest register; bookings and booking history; services, prices and categories; staff profiles, schedules and opening hours; locations; the waitlist; the discount code, gift card and pass records; guest payment and billing records; the business profile, booking page content and settings; newsletter campaigns, marketing consents and unsubscribes; uploaded images and files; and the event logs and notification metadata relating to the subscriber's use of the service. The transferable data and digital assets can be exported self-service with the dashboard export function, in a single package, in a structured, commonly used and machine-readable format (JSON; images and files in their original format); on request Bokko provides the same, no later than the end of the transition period.
Excluded data: Data specific to Bokko's internal functioning whose disclosure would breach Bokko's trade secrets or the security of the platform are not transferable data: Bokko's source code and internal configuration, security and abuse-prevention settings, authentication secrets and access tokens (in particular API keys, OAuth access and refresh tokens, webhook and other signing secrets, HMAC keys and password hashes), keyed fingerprints, platform-level security and audit logs, and other subscribers' data. This exclusion may not impede or delay switching. Transient technical state derived from the transferred data (locks, search indexes, caches, counters, processing markers) is also not part of the transferable data, because its content is contained in the transferred data, The subscriber's own upload placed in moderation quarantine is not included in the package until the review is concluded; if the review restores the content, it is transferable as usual. Moderation flags, decisions and the internal security state of quarantine handling are not transferable data. The data format register lists the transferable and excluded data at collection level.
Data retrieval period and erasure: After the end of the transition period the subscriber may retrieve its data for at least 30 days; a deletion procedure started automatically by Bokko's system does not begin before this period expires. After the retrieval period expires — or earlier, if the subscriber confirms the successful completion of switching and requests erasure — Bokko fully erases the transferable data and digital assets generated directly by the subscriber in the account deletion procedure below, subject to the retention exceptions and the backup rule set out there.
End of the contract and charges: In the case of switching, the contract ends upon the successful completion of switching; Bokko notifies the subscriber of this by e-mail. Bokko imposes no switching charges for switching, for exporting and transferring the data, or for the related assistance; the standard subscription fee payable while the contract is in force is not a switching charge.
Data formats, infrastructure, governmental access: Bokko publishes an up-to-date description of the structure and formats of the transferable data at docs.bokko.io/en/data-export. Bokko's database, server-side processing, file storage and database backups operate in the EU (europe-west1, Belgium); web hosting, the sign-in service and system logs operate on Google's global infrastructure. The infrastructure provider is Google Cloud EMEA Limited (Ireland), whose parent company is Google LLC (USA); the infrastructure may therefore be affected by the law of the United States in addition to EU and Irish law. To prevent international governmental access to non-personal data that conflicts with Union or national law, Bokko stores the data in the EU, encrypts the data in transit and at rest, limits access to the narrowest scope needed for the task, and complies with a third-country governmental request only under the conditions of Article 32 of the Data Act and for the minimum amount of data necessary; it informs the subscriber before complying, unless the request serves law enforcement purposes and informing the subscriber is not permitted. Transfers of personal data to third countries are governed by Section 9 of the Data Processing Agreement.
Account deletion: The subscriber may request deletion of the account and the data belonging to the subscriber at any time in the dashboard (Settings → Account). If the subscriber does not request deletion and 90 days have passed since access ended, Bokko's system automatically starts a deletion procedure. The same procedure applies in both cases. Bokko notifies the subscriber by email when a deletion procedure starts and sends reminders 7 and 1 days before the final deletion; the deletion can be revoked in the dashboard for 30 days from the start, and the data can be exported during this time. After the revocation period, Bokko carries out the deletion automatically and permanently; before execution it verifies that the full deletion scope can be carried out, and if not, it does not start the deletion and re-checks the conditions regularly. The first step of execution is locking all access to the account; from then on the request cannot be revoked, and if an error occurs during execution, Bokko retries the missing steps and completes the deletion; no partial deletion remains. Deletion covers guest and booking data, the provider profile, uploaded images and files, staff profiles, integration connections and the owner's user account. Not deleted are records subject to Bokko's accounting and tax retention obligations and the billing data needed for them, data retained for the establishment of legal claims or official proceedings, and security and audit logs held by Bokko as independent controller — these are kept for the periods set out in the Retention Policy. Deleted data may remain in backups until the backups' retention period expires (DPA Section 14).
Outstanding fees: Termination does not release the subscriber from paying fees outstanding up to the date of termination.
11. Governing law and disputes
This agreement is governed by Hungarian law. The parties first seek to settle disputes amicably through negotiation. If this fails — given that this agreement concerns a business or professional, non-consumer relationship — the parties stipulate the exclusive jurisdiction of the court competent for Bokko's registered seat (Szekszárd District Court (Szekszárdi Járásbíróság) or, depending on subject-matter competence, the Szekszárd Regional Court (Szekszárdi Törvényszék)). If, on the actual circumstances, the subscriber qualifies as a consumer, jurisdiction and venue are governed by the mandatory rules protecting consumers, and the exclusive jurisdiction clause does not apply against it.
